Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Waypenny, operated by Tony Thomas Art LLC (“Waypenny,” “we,” “us,” or “our”), the operator of the Waypenny service (the “Service”). Please read them carefully.

Not financial, legal, or tax advice. Waypenny is a bookkeeping and personal-finance tracking tool. Nothing in the Service constitutes financial, investment, legal, tax, or accounting advice. Consult a licensed professional before making financial decisions.

1. Acceptance of Terms

When you check the “I agree” box during sign-up and click Agree and continue, you are entering into a binding agreement to these Terms and to our Privacy Policy. If you do not agree, do not create an account and do not use the Service.

We record the date, time, IP address, browser, and the exact version of the Terms you accepted. If we materially change the Terms, we’ll ask you to re-accept the next time you sign in before you can continue using the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract under the laws of the state or country where you live. The Service is not directed at children under 18, and we do not knowingly collect data from anyone under 18. If you’re signing up for a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration & Accuracy

You’ll provide an email address, name, and password (or a Google account) when you sign up. You agree to:

  • Provide accurate, current information;
  • Keep your login credentials confidential;
  • Notify us promptly at security@waypenny.com if you suspect unauthorized access to your account;
  • Take responsibility for all activity that occurs under your account, including anyone you invite as a workspace member.

We may require you to verify your email address. Some features require a verified email.

4. Description of the Service

Waypenny is a web-based bookkeeping and personal-finance tool. Depending on the plan you choose, the Service may include:

  • Personal finance tracking — income, bills, budgets, net worth, debts, retirement, savings goals;
  • Small-business tools — sales, expenses, cash flow, products, pipeline, clients, payroll estimates, tasks;
  • Invoicing — create, send, and track invoices; accept payments through your own connected Stripe account (see Section 7);
  • Monthly reports — automated P&L and cash-flow summaries generated from the data you enter;
  • Workspace collaboration — invite family members or teammates with fine-grained per-permission controls.
What Waypenny is not. Waypenny is a record-keeping and planning tool. It does not file your taxes, prepare official financial statements, audit your books, or provide advice. Payroll figures are planning estimates, not IRS-accurate calculations.

5. Plans, Billing, Seats, Cancellation & Refunds

Plans

We offer Personal, Business, and Bundle plans. Current pricing appears on our site and in the billing screen inside the Service. All prices are in U.S. dollars. Prices may change on notice; changes apply prospectively at your next renewal.

Trial

New accounts include a 14-day free trial tracked in our system. No credit card is required to start the trial. When the trial ends, you’ll be prompted to subscribe; if you don’t, your access is limited but your data is preserved subject to Section 10.

Seats

Each plan includes an owner seat plus a small number of free additional seats. Additional seats beyond the plan’s allotment are billed as “extra seats” on your subscription. Extra-seat counts are derived exclusively from your Stripe subscription; adding a member above the free allotment automatically adds a seat charge.

Billing

Subscriptions renew automatically on a monthly cycle until you cancel. You authorize us (through Stripe) to charge your payment method on each renewal. If a charge fails, we’ll retry through Stripe’s dunning process and mark the account past-due; if the failure persists, the subscription is cancelled and access is limited.

Cancellation

You can cancel any time from the Settings screen. Two options:

  • Cancel at period end — you keep full access through the end of the current billing cycle, then the subscription ends and no further charges are made.
  • Cancel immediately — access ends now and no further charges are made.

Refunds

Subscription fees are non-refundable except where required by law. “Cancel at period end” is the standard path and no proration is issued for time already elapsed in the cycle. If you believe you were charged in error, contact support@waypenny.com within 30 days; we review refund requests case by case.

6. Payment Processing (Stripe)

Payments for your Waypenny subscription are processed by Stripe, Inc. Waypenny never sees or stores your card number, CVV, or bank credentials. Stripe’s handling of your payment information is governed by Stripe’s privacy policy. When you subscribe, Stripe creates a customer record and a subscription; we store only Stripe’s identifiers (customer_id, subscription_id) so we can look up your billing state.

7. Stripe Connect — Client Payments to Your Business

If you use Waypenny’s invoicing feature and connect your own Stripe account (Stripe Connect), your clients pay directly to your Stripe account. Waypenny is not the merchant of record for those transactions, does not hold your clients’ funds, and is not a party to the payment.

  • Funds settle to your bank account according to Stripe’s payout schedule, not ours.
  • Refunds, chargebacks, disputes, and tax reporting on client payments are between you, your client, and Stripe.
  • Waypenny may take a small platform fee on each invoice payment if disclosed in your plan; that fee comes off Stripe’s side of the transaction, not from money we hold.
  • You are responsible for compliance with any laws that apply to your business, including sales tax, licensing, and accepting payments in your jurisdiction.

8. Your Data — You Own It

You retain ownership of the content you enter into Waypenny — your transactions, invoices, budgets, member records, notes, uploads, and any other data you or your workspace members create. We claim no ownership of that content.

You grant Waypenny a limited licence to store, process, transmit, back up, and display your content solely to run the Service for you. This licence is not a permission to sell, share, or use your content for any other purpose, and it ends when your account is deleted (subject to lawful retention obligations described in the Privacy Policy).

You can export your data at any time from the Settings screen while your account is active.

9. Acceptable Use

You agree not to:

  • Use the Service to violate any law or regulation;
  • Attempt to gain unauthorized access to other users’ data, our infrastructure, or third-party systems accessed through the Service;
  • Upload malware, run scanners against our infrastructure, or overload the Service;
  • Reverse-engineer, copy, or resell the Service;
  • Use the Service to send spam, harass others, or process payments for activities that are prohibited by Stripe’s restricted-business list;
  • Impersonate another person or entity.

We may suspend or terminate accounts we reasonably believe are violating these rules.

10. Account Deletion & Data Retention

You can request account deletion from Settings. Deletion runs in two phases:

  • 14-day grace period. When you request deletion, your account is locked, your Stripe subscription is cancelled, and your data is retained for 14 days so you can change your mind. During this period you can cancel the deletion by contacting support.
  • Purge. After 14 days, we permanently delete your Firebase Auth record, your user profile, workspaces you own, subcollections (payroll, invoices, tasks, documents, etc.), backups, and legacy records. A limited audit log of administrative actions may be retained where required by law.

Cancelled accounts that remain inactive for 12 months are subject to automated retention deletion after two warning emails. You can keep an inactive account alive by signing in.

11. Operator Access to Your Data

Waypenny is currently operated by a small team. An operator (Waypenny administrator) may access your account data only as needed to:

  • Provide support you’ve requested;
  • Investigate a suspected security or abuse incident;
  • Comply with law (e.g., a valid subpoena);
  • Maintain the integrity of the Service (e.g., debug a billing failure).

Where feasible, we’ll ask your permission before an operator views financial content in your workspace. Every administrative action against your account is written to an internal audit log. We do not sell your data, we do not use it to train AI models, and we do not serve third-party advertising. See the Privacy Policy for the full data-handling description.

12. Disclaimers of Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WAYPENNY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE CALCULATIONS, REPORTS, OR ESTIMATES IT PRODUCES ARE ACCURATE OR SUITABLE FOR ANY REGULATORY, ACCOUNTING, OR TAX PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPENNY, ITS OWNERS, AND ITS EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100.

14. Indemnification

You agree to defend, indemnify, and hold Waypenny harmless from any claim or demand (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law, or your infringement of anyone’s rights.

15. Termination

You may stop using the Service at any time and delete your account under Section 10. We may suspend or terminate your access if you materially violate these Terms, if we’re required to by law, or if continuing to serve you creates unreasonable risk or cost. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law, indemnification) survive.

16. Governing Law & Venue

These Terms are governed by the laws of the State of Missouri, excluding its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts sitting in Missouri, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you by email (to the address on file) and require you to re-accept the updated Terms the next time you sign in before you can continue using the Service. The “Last updated” date and Version number at the top of this page reflect the current version. Continued use of the Service after re-accepting constitutes acceptance of the updated Terms.
